1. Agreement
These Terms of Service govern your use of the VisibilityDen Service. By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
VisibilityDen is a leadership-credibility platform that combines project execution data and team-culture signals into the Executive Confidence Index™. We may change, suspend, or discontinue features at any time, but we will not materially reduce paid functionality during an active subscription term without notice.
3. Eligibility & accounts
- You must be 18 or older.
- Provide accurate information and keep it current.
- Keep your credentials confidential. You are responsible for activity under your account.
4. Acceptable use
You will not, and will not allow others to:
- Reverse-engineer, copy, or resell the Service except as expressly permitted.
- Probe, scan, or stress-test the Service or attempt to bypass security controls.
- Upload data you do not have the right to share, or that violates anyone’s privacy.
- Use the Service to transmit malware or unlawful content.
- Interfere with other customers’ use of the Service.
5. Early-access features
Features labeled “early access” or “preview” are provided as-is for evaluation. They may change or be removed; we do not promise the same SLA for early-access features as for generally available ones.
6. Customer data
You retain all rights to data you upload (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide the Service. We process Customer Data per the Data Processing Addendum.
7. Intellectual property
We own all rights in the Service, including the Executive Confidence Index™ methodology, scoring engine, and UI. You receive a non-exclusive, non-transferable right to access and use the Service during your subscription.
8. Fees
During the founding-member pilot program the Service is provided free of charge. When paid plans launch, we will give pilot participants written notice and an opportunity to accept paid terms before any charge.
9. Confidentiality
Each party will protect the other’s confidential information with at least the same care it uses for its own (and never less than reasonable care), and use it only as needed to perform under these Terms.
10. Warranty disclaimer
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE EXECUTIVE CONFIDENCE INDEX™ IS A DECISION-SUPPORT SCORE, NOT A GUARANTEE OF OUTCOMES.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR LOST PROFITS, LOST REVENUE, OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. EACH PARTY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR US$100, WHICHEVER IS GREATER.
12. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data or your breach of these Terms. We will defend and indemnify you against third-party claims that the Service, used as permitted, infringes their US patent, copyright, or trademark.
13. Term & termination
These Terms apply for as long as you use the Service. Either party may terminate at any time on written notice. On termination we will delete Customer Data within 90 days unless law requires longer retention. You may export your data via the Service before termination.
14. Governing law & venue
These Terms are governed by the laws of Minnesota, United States, without regard to conflict of laws. Any dispute will be resolved in the state or federal courts located in Minnesota, United States, and each party consents to that jurisdiction.
15. Changes
We may update these Terms; the “Effective” date above will reflect the latest version. Material changes will be emailed to active account holders.
